Sentinel Plan Monitoring Services Agreement
Effective Date: March 25, 2026
This Sentinel Plan Monitoring Services Agreement ("Agreement") is entered into between the Law Office of Carl G. Hawkins, PLLC ("Firm"), a Florida professional limited liability company, and [Client Name] ("Client"), on behalf of [Entity Name] ("Entity").
1. SCOPE OF MONITORING SERVICES
Subject to the terms of this Agreement, the Firm will provide the following ongoing compliance monitoring services for the Entity:
(a) Entity Standing Monitor. Daily review of the Entity's status on the Florida Division of Corporations (Sunbiz) database. The Firm will notify Client promptly if the Entity's status changes to Inactive, Dissolved, Revoked, or any other non-active designation.
(b) Annual Report Reminders. Written reminders delivered to Client at approximately 90, 30, and 7 days prior to Florida's annual report filing deadline (May 1 of each year). Reminders will include the current state filing fee schedule and an offer to file on Client's behalf for a flat fee of $150.00 plus applicable state filing fees.
(c) UCC Lien Monitoring. Weekly review of the Florida Secured Transaction Registry for new UCC financing statements filed against the Entity's name. Client will be notified promptly upon discovery of any new filing.
(d) Trademark Watch (if applicable). If Client provides a registered word mark for monitoring, the Firm will conduct periodic reviews of the USPTO TESS database for new applications that may be confusingly similar to Client's registered mark. This service is limited to word mark monitoring and does not constitute legal advice regarding infringement, validity, or enforcement. Trademark watch does not include monitoring of state trademark registrations, domain names, social media handles, or common law uses.
(e) Annual Report Filing Service (Optional). Upon Client's written request, the Firm will prepare and file the Entity's Florida annual report for a flat fee of $150.00 plus the applicable state filing fee. This service is billed separately and is not included in the monthly subscription fee.
2. FEES AND BILLING
(a) Monthly Subscription Fee. The monthly fee for the Sentinel Plan is $199 per month (standard rate). Billing is processed monthly through Stripe. By proceeding to checkout, Client authorizes recurring monthly charges to the payment method provided.
(b) Cancellation. Client may cancel the Sentinel Plan subscription at any time by providing written notice to the Firm at [email protected] or by canceling through the Stripe billing portal. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued.
(c) Price Changes. The Firm reserves the right to modify the monthly subscription fee upon thirty (30) days' written notice to Client. Client's continued use of the service after the effective date of any price change constitutes acceptance of the new fee.
3. LIMITATIONS OF SERVICE
(a) The monitoring services provided under this Agreement are administrative and informational in nature. Alerts and notifications do not constitute legal advice, legal opinions, or recommendations regarding any specific course of action.
(b) The Firm's monitoring is dependent on the accuracy, completeness, and timeliness of publicly available government databases, including but not limited to the Florida Division of Corporations, the Florida Secured Transaction Registry, and the USPTO TESS database. The Firm does not warrant the accuracy or completeness of any third-party database and shall not be liable for errors, omissions, or delays in such databases.
(c) The Sentinel Plan does not include legal representation, litigation, enforcement actions, or any services beyond those expressly described in Section 1. Any additional legal services requested by Client will be subject to a separate engagement agreement and fee arrangement.
(d) Trademark watch services are limited to monitoring the USPTO database for new applications and do not include monitoring for infringement, unauthorized use, or enforcement. Discovery of a potentially conflicting application does not obligate the Firm to take any action without a separate engagement.
4. ATTORNEY-CLIENT RELATIONSHIP
This Agreement establishes a limited-scope attorney-client relationship between the Firm and Client solely for the monitoring services described in Section 1. The Firm does not assume any responsibility for matters outside the scope of this Agreement. Client is responsible for retaining separate counsel for any legal matters not covered herein.
5. CONFIDENTIALITY
The Firm will maintain the confidentiality of all information provided by Client in connection with this Agreement in accordance with the Florida Rules of Professional Conduct.
6. LIMITATION OF LIABILITY
The Firm's total liability to Client for any claim arising out of or related to this Agreement shall not exceed the total monthly fees paid by Client in the three (3) months immediately preceding the claim. In no event shall the Firm be liable for indirect, incidental, consequential, or punitive damages.
7. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising under this Agreement shall be resolved in the courts of Duval County, Florida.
8. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties with respect to the Sentinel Plan monitoring services and supersedes all prior discussions, representations, and agreements. This Agreement may be amended only by a written instrument signed by both parties.
9. ELECTRONIC SIGNATURE
Client agrees that an electronic signature in the form of "/s/ [Client Name]" constitutes a valid and binding signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Florida Electronic Signature Act.
